TownsTech General Terms of Use

1. Introduction

Welcome to TownsTech. These General Terms of Use ("Terms") govern your access to and use of the products, services, websites, applications, platforms, and systems operated by TownsTech ("TownsTech", "we", "our", or "us").

By accessing, purchasing, subscribing to, or using any TownsTech service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our services.

2. About TownsTech

TownsTech is a Zimbabwean technology company providing digital solutions including, but not limited to:

  • Website design and development
  • Mobile application development
  • Custom software and systems development
  • Domain registration and management
  • Web hosting and cloud hosting services
  • Business email services
  • Digital marketing and paid advertising
  • Social media management
  • ICT consulting and support services
  • Search Engine Optimization (SEO)
  • E-commerce solutions
  • Graphic design and branding services
  • Software maintenance and support

Additional service-specific terms may apply to certain products and services.

3. Eligibility

You must be at least 18 years old or have the consent of a parent, guardian, or legally authorized representative to use our services.

By using our services, you represent that:

  • You have the legal capacity to enter into binding agreements.
  • The information you provide is accurate and complete.
  • You will comply with all applicable laws and regulations.

4. Account Registration and Security

Certain services require the creation of an account.

You agree to:

  • Provide accurate and up-to-date information.
  • Maintain the confidentiality of your login credentials.
  • Notify us immediately of any unauthorized access to your account.
  • Accept responsibility for activities conducted under your account.

You are solely responsible for safeguarding passwords, API keys, access tokens, and other authentication credentials.

5. Acceptable Use Policy

You agree not to use our services for activities that are unlawful, harmful, fraudulent, abusive, or disruptive.

Prohibited activities include, but are not limited to:

Illegal Content

  • Hosting or distributing illegal content.
  • Violating Zimbabwean or international laws.
  • Promoting criminal activities.

Intellectual Property Violations

  • Using pirated, cracked, nulled, stolen, or unauthorized software.
  • Hosting copyrighted content without permission.
  • Infringing trademarks, patents, or copyrights.

Security Violations

  • Malware distribution.
  • Phishing activities.
  • Hacking attempts.
  • Unauthorized system access.
  • Network abuse.
  • Cryptocurrency mining without authorization.

Spam and Abuse

  • Sending unsolicited bulk email.
  • Operating spam campaigns.
  • Excessive resource consumption.
  • Denial-of-service activities.

Harmful Content

  • Child exploitation material.
  • Content promoting violence or terrorism.
  • Hate speech prohibited by law.
  • Fraudulent or deceptive content.

TownsTech reserves the right to investigate and take appropriate action regarding violations.

6. Hosting Services

For hosting-related services:

  • Clients are responsible for all content hosted under their accounts.
  • TownsTech does not routinely monitor client content but may investigate reports of abuse.
  • We reserve the right to remove content that violates these Terms or applicable laws.
  • Shared hosting resources must be used fairly and responsibly.
  • Excessive resource consumption may result in temporary restrictions or migration recommendations.

While we strive for maximum uptime, uninterrupted service cannot be guaranteed.

7. Domain Registration Services

Domain registrations are subject to the policies of the relevant domain registries and registrars.

Clients acknowledge that:

  • Domain registration fees are generally non-refundable once submitted.
  • Ownership rights are governed by applicable registry rules.
  • Renewal notices are provided as a courtesy.
  • Clients remain responsible for ensuring timely renewal of domains.

Failure to renew a domain may result in suspension, expiration, or loss of ownership.

8. Software Development Services

For websites, mobile applications, software systems, and custom development projects:

  • Project requirements shall be defined through proposals, quotations, contracts, or written communications.
  • Delivery timelines are estimates unless explicitly stated otherwise.
  • Client delays in providing content, approvals, feedback, or information may affect project schedules.
  • Additional features requested outside the agreed scope may incur additional charges.

Unless otherwise agreed in writing:

  • Clients retain ownership of content they provide.
  • TownsTech retains ownership of pre-existing frameworks, tools, libraries, methodologies, and reusable code components.
  • Final ownership of commissioned work shall be governed by the applicable project agreement.

9. Payments and Billing

Clients agree to pay all fees associated with purchased services.

Subscription Services

  • Hosting and maintenance services are billed in advance.
  • Services may be suspended for overdue accounts.

Project Services

  • Development projects may require deposits before commencement.
  • Work may be paused if agreed payments are not received.

Refunds

Refund eligibility shall be governed by the specific service purchased and any applicable refund policy.

10. Data Protection and Privacy

Your use of our services is also governed by our Privacy Policy.

TownsTech takes reasonable measures to protect personal and business information. However, no electronic system can guarantee absolute security.

Clients are responsible for:

  • Maintaining secure passwords.
  • Protecting their own devices.
  • Implementing appropriate backup procedures.

11. Backups and Data Responsibility

Although TownsTech may perform backups on certain services, clients remain responsible for maintaining independent backups of critical data.

TownsTech shall not be liable for data loss resulting from:

  • User error
  • Malware infections
  • Third-party failures
  • System compromise
  • Force majeure events

12. Intellectual Property

All TownsTech trademarks, branding, logos, website content, software, documentation, graphics, and materials remain the intellectual property of TownsTech unless otherwise stated.

Nothing in these Terms grants ownership rights to TownsTech intellectual property.

13. Monitoring and Security

To protect our infrastructure and clients, TownsTech reserves the right to:

  • Scan systems for malware and malicious activity.
  • Investigate suspected abuse.
  • Block malicious traffic.
  • Suspend compromised accounts.

Where practical, notice will be provided before action is taken.

14. Suspension and Termination

TownsTech may suspend or terminate services where:

  • These Terms are violated.
  • Payments remain overdue.
  • Services are used unlawfully.
  • Client activity threatens platform security or stability.
  • Required information is false or misleading.

Termination does not remove outstanding payment obligations.

15. Service Availability

We strive to maintain reliable services but do not guarantee uninterrupted availability.

Scheduled maintenance, upgrades, third-party failures, cyberattacks, force majeure events, and internet disruptions may affect service availability.

16. Disclaimer of Warranties

All services are provided on an "as-is" and "as-available" basis.

To the fullest extent permitted by law, TownsTech disclaims all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Continuous availability

17. Limitation of Liability

To the maximum extent permitted by law, TownsTech shall not be liable for:

  • Loss of profits
  • Loss of business opportunities
  • Loss of data
  • Indirect or consequential damages
  • Service interruptions caused by third parties

Our total liability for any claim shall not exceed the amount paid by the client for the affected service during the preceding twelve (12) months.

18. Indemnification

You agree to indemnify and hold harmless TownsTech, its directors, employees, contractors, and affiliates from claims, damages, liabilities, costs, and expenses arising from:

  • Your use of the services.
  • Violation of these Terms.
  • Violation of applicable laws.
  • Infringement of third-party rights.

19. Changes to These Terms

TownsTech may update these Terms from time to time.

Updated versions will be published on our website and become effective upon publication unless otherwise stated.

Continued use of our services constitutes acceptance of the revised Terms.

20. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Zimbabwe.

Any dispute arising from these Terms shall be subject to the jurisdiction of the courts of Zimbabwe.
