Software Development Terms and Conditions

1. Scope

These Terms apply to all software development services provided by TownsTech, including:

  • Website development
  • Mobile application development
  • Web applications
  • Business systems
  • E-commerce platforms
  • API development
  • Software integrations
  • Software maintenance and support

2. Project Initiation

Projects commence once:

  • Requirements are agreed upon.
  • A quotation or proposal is accepted.
  • Required deposits have been paid.

Any changes after project commencement may affect cost and delivery timelines.

3. Client Responsibilities

The client agrees to:

  • Provide accurate requirements.
  • Supply content, branding materials, and information required for the project.
  • Provide feedback within reasonable timeframes.
  • Review and approve deliverables promptly.

Delays by the client may result in revised timelines.

4. Change Requests

Any request outside the originally agreed scope may be treated as a Change Request.

Change Requests may result in:

  • Additional fees
  • Revised timelines
  • Revised project specifications

TownsTech is not obligated to implement additional features without written agreement.

5. Delivery Timelines

Project timelines are estimates unless expressly stated otherwise.

TownsTech shall not be liable for delays caused by:

  • Client feedback delays
  • Third-party service providers
  • Regulatory approvals
  • Force majeure events

6. Testing and Acceptance

Upon delivery, the client shall review the solution and provide feedback.

Unless otherwise agreed, a deliverable shall be deemed accepted if:

  • Written approval is provided; or
  • No material concerns are raised within fourteen (14) days of delivery.

7. Intellectual Property

Client Materials

The client retains ownership of content, trademarks, logos, documents, images, and materials supplied to TownsTech.

TownsTech Materials

TownsTech retains ownership of:

  • Proprietary frameworks
  • Libraries
  • Development methodologies
  • Reusable code components
  • Internal tools

Custom Deliverables

Upon full payment, the client receives ownership or usage rights to custom-developed deliverables as agreed in the project proposal.

8. Open Source Software

Projects may incorporate open-source software and third-party libraries.

Such components remain subject to their respective licenses.

TownsTech does not claim ownership of open-source components.

9. Warranty Period

Unless otherwise agreed, TownsTech provides a thirty (30) day defect correction period following project delivery.

The warranty covers:

  • Coding defects
  • Functionality not meeting agreed specifications

The warranty does not cover:

  • New feature requests
  • User errors
  • Third-party software issues
  • Hosting problems not managed by TownsTech

10. Maintenance and Support

Ongoing support and maintenance are separate services unless explicitly included in a project agreement.

Support may include:

  • Bug fixes
  • Security updates
  • Content updates
  • Feature enhancements

Additional charges may apply.

11. Limitation of Liability

TownsTech shall not be liable for:

  • Loss of profits
  • Business interruption
  • Data loss
  • Third-party service failures
  • Indirect or consequential damages

Liability shall be limited to the amount paid by the client for the relevant project.

12. Abandoned Projects

A project may be considered abandoned if the client fails to respond, provide information, or engage with the project for more than ninety (90) consecutive days.

TownsTech reserves the right to:

  • Close the project;
  • Reallocate resources; and
  • Charge for work completed to date.

13. Portfolio Rights

Unless otherwise agreed in writing, TownsTech may display completed projects in its portfolio, marketing materials, and case studies.

Confidential information shall not be disclosed.

14. Governing Law

These Terms shall be governed by the laws of Zimbabwe.

Any disputes shall be subject to the jurisdiction of Zimbabwean courts.
